Terms of Service

1.Acceptance of Terms

By accessing or using our Services, you confirm that you are at least 16 years of age and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must discontinue use of our Services immediately. Your continued use of the platform after any modifications to these Terms constitutes acceptance of the revised Terms.

2.Definitions

• “Content” means tutorials, articles, images, videos, gear reviews, and any other materials published on the platform.
• “User Content” means photos, comments, forum posts, profile information, and any materials you submit to the platform.
• “Studio Workplace” means any physical photography studio available for booking through our platform.
• “Booking” means a confirmed reservation of a Studio Workplace for a specified date, time, and duration.
• “Membership” means a recurring subscription plan providing access to premium features and studio discounts.

3.Account Registration

To access certain features — including studio bookings, community forums, and premium content — you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information.
• Maintain the security and confidentiality of your login credentials.
• Notify us immediately of any unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.

4.Use License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes. This license does not include the right to:

• Reproduce, distribute, or publicly display our Content without prior written consent.
• Modify, create derivative works from, or reverse-engineer any part of the Services.
• Use automated tools (scrapers, bots) to extract data from the platform.
• Sublicense or transfer your access to any third party.
• Use the Content for commercial purposes, including resale, courses, or competing platforms, without a separate commercial license.

5.User Content

You retain ownership of all User Content you submit. By posting User Content to the platform, you grant VT Photo a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your User Content solely in connection with operating and promoting the Services (e.g., featuring community photos in a gallery or social media).

You represent that your User Content does not infringe any third-party intellectual property rights, violate any laws, or contain harmful, defamatory, or obscene material. We reserve the right to remove User Content that violates these Terms without prior notice.

You can request deletion of your User Content at any time by contacting us. We will remove it within 30 days, except where retention is required by law.

6.Studio Bookings

Studio Workplace bookings are subject to the following terms:

• Confirmation: A booking is confirmed only after full payment is processed and you receive a confirmation email.
• Cancellation: Free cancellation up to 48 hours before your booking. Cancellations within 48 hours are subject to a 50% charge. No-shows are charged in full.
• Rescheduling: Free rescheduling up to 24 hours before your booking, subject to availability.
• Studio rules: You agree to follow all studio-specific rules, treat equipment with care, and leave the space in the condition you found it.
• Liability: You are responsible for any damage to studio equipment or facilities caused by you or your guests during your booking.

VT Photo reserves the right to cancel bookings due to force majeure events (natural disasters, pandemics, government orders). In such cases, a full refund will be issued.

7.Payment & Billing

• All prices are displayed in USD unless otherwise specified and include applicable taxes where required.
• Payments are processed securely through Stripe. We never store your full credit card details on our servers.
• Membership subscriptions renew automatically. You can cancel at any time through your account settings; access continues until the end of the current billing period.
• Refunds for memberships are available within the first 14 days of initial purchase. After that, no pro-rated refunds are provided.
• We reserve the right to adjust pricing with 30 days' advance notice to existing members.

8.Intellectual Property

All Content, trademarks, logos, design elements, code, and other intellectual property on the platform are owned by or licensed to VT Photo Workplace Inc. and are protected by international copyright, trademark, and intellectual property laws.

The VT Photo Workplace name, logo, and brand identity are registered trademarks. You may not use our trademarks without prior written permission, except as permitted for editorial or descriptive purposes in accordance with fair use principles.

9.Prohibited Conduct

You agree not to:

• Harass, bully, threaten, or intimidate other users in community spaces.
• Post spam, unsolicited promotions, or malicious content.
• Impersonate any person, organization, or VT Photo staff member.
• Attempt to gain unauthorized access to other users' accounts or our systems.
• Use the Services for any illegal, fraudulent, or harmful purpose.
• Circumvent, disable, or interfere with security features of the platform.
• Upload viruses, malware, or other harmful code.

10.Termination

We may suspend or terminate your account at our sole discretion if you violate these Terms, engage in prohibited conduct, or for any reason with 30 days' notice. Upon termination:

• Your license to use the Services is immediately revoked.
• Outstanding booking payments remain due.
• You may request a copy of your User Content within 30 days of termination.
• Sections of these Terms that by their nature should survive termination (IP, liability, indemnification) will continue to apply.

11.Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure. Photography tutorials and gear recommendations are for educational purposes only. We are not responsible for outcomes resulting from applying techniques or purchasing equipment based on our Content.

12.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VT PHOTO WORKPLACE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

Our total aggregate liability for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim, or (b) €100.

13.Indemnification

You agree to indemnify, defend, and hold harmless VT Photo Workplace, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Services, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any third-party rights.

14.Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to conflict-of-law principles. For EU consumers, mandatory consumer protection laws of your country of residence continue to apply.

Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of Berlin, Germany. EU consumers may also use the European Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

15.Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email notification and a prominent notice on the platform at least 30 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services and may request account deletion.
